Terms of Service

By accessing or using any NeuriX LLC product, platform, API, or service (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization — such as a hospital, clinic, or health system — you represent that you have the authority to bind that organization, and references to "you" include that organization. If you do not agree to these Terms, you must not access or use our Services.

NeuriX LLC is a Florida-based technology company providing artificial intelligence software products and services purpose-built for the healthcare industry. Our offerings include, but are not limited to:

• AI-powered medical imaging analysis and diagnostic assistance tools
• Real-time clinical decision support systems integrated with EHR/EMR platforms
• Predictive patient monitoring and deterioration alerting solutions
• Population health analytics and operational intelligence dashboards
• Neural network model development and custom AI software engineering for healthcare clients
• API and integration services connecting AI capabilities to existing hospital infrastructure

NeuriX reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable prior notice.

Our Services are intended for use by healthcare organizations, licensed medical professionals, and authorized administrative personnel. You must be at least 18 years of age and have the legal capacity to enter into binding contracts. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity occurring under your account. NeuriX reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in violation of any applicable federal, state, or local law, including HIPAA
• Attempt to reverse-engineer, decompile, or extract source code or AI model weights
• Use outputs from NeuriX AI tools as the sole basis for clinical decisions without appropriate physician oversight
• Share access credentials with unauthorized individuals or entities
• Introduce malicious code, conduct denial-of-service attacks, or attempt to gain unauthorized access to our systems
• Reproduce, resell, or sublicense NeuriX Services without written authorization

NeuriX AI tools are clinical decision support instruments designed to assist qualified healthcare professionals. They are not a substitute for professional medical judgment.

All software, neural network models, algorithms, documentation, user interfaces, and related materials provided as part of the Services are the exclusive intellectual property of NeuriX LLC or its licensors, protected under United States and international copyright, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and your applicable service agreement, NeuriX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal healthcare operations. No rights are granted beyond those explicitly stated herein.

NeuriX is committed to protecting personal and protected health information. Our collection, use, and handling of data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Where applicable, NeuriX will enter into a HIPAA Business Associate Agreement (BAA) with covered entities and their business associates prior to processing any protected health information (PHI).

Fees for NeuriX Services are set forth in the applicable order form or service agreement executed between the parties. All invoices are due within 30 days of the invoice date unless otherwise agreed. Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. NeuriX reserves the right to suspend access to Services for accounts with overdue balances after reasonable written notice. All fees are non-refundable except as stated in our Refund Policy.

To the maximum extent permitted by applicable law, NeuriX LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or related to your use of or inability to use the Services, even if NeuriX has been advised of the possibility of such damages.

NeuriX's total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to NeuriX in the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless NeuriX LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services in a manner not authorized by these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any data you provide to NeuriX in connection with the Services.

Either party may terminate the Services upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving written notice. NeuriX may also immediately suspend or terminate your access if we reasonably believe continued access poses a security risk or violates applicable law.

Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall survive.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida. NeuriX LLC is registered in the State of Florida and located at 7901 4th St N, Ste 300, St. Petersburg, FL 33702.

NeuriX reserves the right to update these Terms at any time. We will provide at least 30 days' advance notice of material changes via email or a prominent notice within the Services. Continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
